Full Stack Legacy LLC dba InFinancer

Client Services Agreement

Effective November 6, 2026

This Client Services Agreement (the “Agreement”) is between Full Stack Legacy LLC, a Texas limited liability company, dba InFinancer (“InFinancer”), and the client named in the Service Schedule or in the booking (“Client”).

1. How This Agreement Works

1.1 This Agreement covers every coaching and consulting service InFinancer provides to Client. The details of each engagement (the service, the fee, the number and length of sessions and any special terms) are set out in a Service Schedule.

1.2 For a session or package booked through an InFinancer booking page, the booking page and the booking confirmation together serve as the Service Schedule. Client accepts this Agreement by confirming acceptance on the booking form and completing the booking.

1.3 For a consulting engagement, or any service not booked through a booking page, Client accepts this Agreement by signing the Service Schedule.

1.4 If a Service Schedule and this Agreement conflict, the Service Schedule controls for that engagement.

2. Services

2.1 InFinancer provides one or more of the following, as described in the Service Schedule: (a) Niche/Why Coaching; (b) Habits, Accountability & Money Coaching; and (c) business operations and business finance consulting (together, the “Services”).

2.2 Sessions are held live by video on Google Meet unless the Service Schedule states otherwise.

2.3 Adam Solomine delivers the Services on behalf of InFinancer. InFinancer will not substitute another coach or consultant without Client’s written consent.

2.4 Any intake, written summary or deliverable that the Service Schedule lists is part of the Services.

3. Not Financial, Legal or Tax Advice

3.1 The Services are coaching and consulting for education and planning. They are not financial, legal or tax advice. InFinancer does not act as an investment adviser, broker, attorney, accountant or tax preparer, and does not recommend specific securities or investments.

3.2 Client makes all of Client’s own decisions and is solely responsible for them and for their results. Client should consult a licensed professional before acting on any matter that calls for one.

4. Client Commitments

4.1 Client agrees to: (a) give accurate and complete information, including in any intake; (b) arrive on time and prepared; (c) complete the work agreed between sessions; and (d) tell InFinancer promptly about any change that affects the Services.

4.2 If a second person takes part in the Services (for example, a partner who joins money coaching), that person is also “Client” under this Agreement and is bound by it.

5. Fees and Payment

5.1 Fees are as stated on the booking page or in the Service Schedule.

5.2 Booked sessions and packages are paid in full at booking, through Stripe.

5.3 Consulting retainers are billed monthly in advance by Stripe invoice and are due on receipt. If an invoice remains unpaid 7 days after its due date, InFinancer may pause the Services until it is paid.

5.4 Fees do not include third-party costs, such as software or filing fees, unless the Service Schedule says so. Client approves any such cost in writing before it is incurred.

6. Scheduling, Cancellation and Refunds

6.1 Single session. Client may cancel at least 24 hours before a session for a full refund. Inside 24 hours, Client may reschedule once at no charge. If Client cancels inside 24 hours without rescheduling, a $50 fee applies and InFinancer refunds the rest. If Client cancels a rescheduled session inside 24 hours, or does not attend it, the full session fee is charged.

6.2 Three-session arc. For the first session, Section 6.1 applies, except that the late-cancellation fee is $135 and the full arc fee is charged if Client cancels a rescheduled first session inside 24 hours. Sessions 2 and 3 may be moved with at least 24 hours’ notice, or rescheduled once inside 24 hours. A late cancellation without rescheduling, or a missed session, counts that session as used. No refunds are made after the first session. Sessions 2 and 3 are to be held within 60 days of the first session; a session not held by then is forfeited.

6.3 Consulting retainers. Either party may end a retainer with 30 days’ written notice. Fees already paid for the current month are not refunded. A working session that Client cancels with less than 24 hours’ notice counts as held.

6.4 If InFinancer cancels a session or cannot deliver it, InFinancer will offer a new time or refund the fee for that session, at Client’s choice.

6.5 Refunds are made to the original payment method.

7. Confidentiality and Privacy

7.1 InFinancer keeps confidential what Client shares in connection with the Services and does not disclose it without Client’s written permission, except: (a) when the law or a court requires it; (b) to prevent serious and imminent harm to any person; or (c) to service providers that store or process it for InFinancer, such as Google and Stripe, under their own terms.

7.2 For consulting, InFinancer uses Client’s business information only to provide the Services.

7.3 Neither party records a session unless both agree beforehand, in writing or verbally. A verbal agreement is stated at the start of the recording.

7.4 InFinancer’s privacy policy is at www.infinancer.com/privacy.

8. Materials and Deliverables

8.1 InFinancer keeps ownership of its own materials, including worksheets, templates, frameworks, slides and other content it created before or apart from the engagement. Client receives a personal, non-transferable license to use those materials for Client’s own household or business and agrees not to share them outside it.

8.2 Consulting deliverables created specifically for Client and listed in the Service Schedule (for example, SOPs, workflows or reports) belong to Client once the related fees are paid in full. InFinancer keeps its pre-existing materials and general know-how, and may reuse general methods that contain none of Client’s confidential information.

8.3 Written summaries from coaching sessions are Client’s to keep.

9. No Guarantee of Results

InFinancer will provide the Services with reasonable care and skill. Results depend on Client’s own actions and circumstances, and InFinancer does not guarantee any particular financial, business or personal outcome.

10. Limitation of Liability

10.1 To the fullest extent the law allows, InFinancer’s total liability arising out of this Agreement or the Services is limited to the fees Client paid InFinancer under this Agreement in the 3 months before the claim arose.

10.2 Neither party is liable to the other for indirect, incidental, special or consequential damages, including lost profits.

10.3 Section 10 also protects Full Stack Legacy LLC’s members, managers and coaches, including Adam Solomine.

11. Term and Ending the Agreement

11.1 This Agreement starts when Client accepts it and continues until every Service Schedule under it has ended.

11.2 Either party may end this Agreement by written notice, and email is enough. Section 6 governs fees and refunds when an engagement ends early.

11.3 InFinancer may end this Agreement at once if Client does not pay or treats InFinancer abusively. If InFinancer ends this Agreement for any other reason, InFinancer refunds prepaid fees for sessions not yet held.

11.4 Sections 3, 7, 8, 10 and 13 continue after this Agreement ends.

12. Independent Contractor

InFinancer provides the Services as an independent contractor. Nothing in this Agreement creates an employment, partnership or agency relationship.

13. General Terms

13.1 Governing law and venue. Texas law governs this Agreement. Any dispute is to be brought in the state or federal courts located in Collin County, Texas.

13.2 Entire agreement. This Agreement and its Service Schedules are the entire agreement between the parties about the Services.

13.3 Changes. A change to an engagement must be in writing and agreed by both parties; email is enough. InFinancer may update this Agreement for future bookings, and the version in effect when Client books or signs applies to that engagement.

13.4 Assignment. Client may not assign this Agreement. InFinancer may assign it to an affiliate or successor of Full Stack Legacy LLC by giving Client notice.

13.5 Severability and waiver. If any part of this Agreement is unenforceable, the rest remains in effect. A party’s failure or delay in enforcing a right is not a waiver of that right or any other.

13.6 Notices. Notices are given by email to [email protected] and to the email address Client used to book or sign.

13.7 Electronic acceptance. Booking and paying online, and electronic signatures, are valid ways to accept this Agreement and any Service Schedule.

13.8 Opportunity to consult counsel. Client has had the chance to review this Agreement and to ask a lawyer of Client’s choice about it before accepting.
